Strategic Management of Option Types

  • Incentive Stock Options (ISOs): Advisors help you meet strict holding periods (two years from grant and one year from exercise) to qualify for preferential long-term capital gains rates instead of ordinary income tax.

  • Non-Qualified Stock Options (NQSOs): Since the "spread" at exercise is taxed as ordinary income, firms time these exercises to align with years of lower bonus income or to stay within specific tax brackets.

  • Warrants: Similar to NQSOs, warrants often require careful basis tracking and timing to manage the significant ordinary income hit upon exercise.

Advanced Tax Mitigation Techniques

  • Executive Cash-Flow Modeling for compliance with MA supplemental withholding rules for 9% surtax.  This can prevent large underpayment penalties or unnecessary over-withholding.

  • Section 83(b) Elections: For executives at early-stage or private companies, a firm can facilitate an 83(b) election within 30 days of a grant. This allows you to pay taxes on the current low value rather than the potentially much higher value at vesting, "freezing" the ordinary income element and starting the capital gains clock early.

  • Net Investment Income Tax (NIIT) Mitigation: Advisors coordinate the timing of large liquidity events to manage exposure to the 3.8% NIIT surcharge on investment income for high earners.

  • Qualified Small Business Stock (QSBS): If your company qualifies under Section 1202, a tax firm ensures you meet all requirements to potentially exclude up to 100% of capital gains (up to $10 million or more) upon the sale of your shares.
